Rooah! LLC reserves the right to revise the Terms of Service and by continuing to use the service you agree to be automatically bound by the revised Terms of Service.

A. DEFINITIONS

• “Client”, “You”, “Your”: The individual, business, or organization purchasing services from Rooah! LLC.
• “Rooah! LLC”, “We”, “Us”, “Our”: Rooah! LLC and its employees, affiliates, contractors, or representatives.
• “Project”, “Order”: Any request, agreement, or contract (written, digital, or verbal) between Rooah! and the Client for services rendered.
• “SimplePlan”: A branded suite of digital service packages offered by Rooah! LLC.

B. CONDITIONS OF USE

By using Rooah! services, you confirm that:

• You are 18 years or older and legally capable of entering into a binding contract.
• You agree to comply with these Terms of Service.
• You shall not use our site or services for unlawful activities or violate any third-party rights.
• All interactions and orders are bound by these Terms, even when placed via phone, email, or messaging.

C. SIMPLEPLAN SERVICES

Rooah provides digital solutions through our SimplePlan suite of services, each designed to meet the needs of businesses at different stages of growth. By enrolling in any SimplePlan product, you agree to the following terms:

1. Plan Tiers & Inclusions

A. SimplePlan (Flagship Plan – $500 Setup + $100/month)

Ideal for small businesses needing a professional website and automation tools.

Includes:

• High-converting website or sales funnel
• Built-in CRM with mobile dashboard access
• Automated email and SMS follow-ups
• Integrated booking/contact forms
• Secure website hosting, SSL, and free domain
• Up to 5 business email accounts
• Monthly content updates and basic SEO
• Access to Rooah’s Business Funding Toolkit

📌 Billing & Renewal: This is a monthly subscription with a $500 initial setup. Cancel anytime with 14 days’ notice. Upon cancellation, website and CRM access will be suspended unless transitioned to a hosting-only plan (see section 2).

B. SimplePlan Business (Marketing-as-a-Service – $500/month)

Ideal for established businesses seeking marketing support and lead generation.

Includes:

• Google Ads and Meta ad campaign setup & optimization
• 4 monthly branded email campaigns or newsletters
• 4 monthly social media content posts (design + publish)
• Automated lead nurturing workflows
• CRM setup for performance tracking and lead management
• Monthly performance reports with strategic insights

📌 Requirements: Must have an active SimplePlan website or CRM-enabled funnel. Monthly service billed in advance; cancel with 30 days’ notice. No partial-month refunds.

C. SimplePlan Pro (Starting at $800–$1,000/month per VA/CSR)

Ideal for scaling businesses that need reliable staffing without hiring in-house.

Includes:

• Full-time VA or CSR (bilingual available)
• Phone handling, lead follow-up, quote coordination
• CRM data entry and appointment confirmations
• Google Business Profile optimization and review management
• Light social media support (posting/monitoring)
• Fully managed, trained team member integrated into your system

📌 Requirements: Active SimplePlan site or CRM funnel required. Cancel with 30 days’ notice. Dedicated VAs require 2-week onboarding. Refunds not available after staffing begins due to labor costs.

D. SimplePlan Growth Starter (Entry-Level Offer – $199/year)

Ideal for startups and solo entrepreneurs launching an online presence.

Includes:

• Professionally designed 3–4 page website (template-based)
• Secure hosting, free domain registration/renewal
• Basic CRM access
• Monthly support for content edits
• Access to business growth toolkit

📌 Billing & Renewal: Annual fee covers 12 months of service. Non-refundable once active. Cancel auto-renew at least 7 days before anniversary date. Optional add-ons available.

2. Hosting & Support Services

Clients who transition from any full-service plan to a hosting-only plan may continue service under the SimplePlan Hosting & Support Plan ($150/year), which includes:

• Website hosting & backups
• Domain registration/renewal
• Email service (up to 5 addresses)
• Technical support (excluding content updates)
• Google Business Profile management

📌 Renewal & Cancellation: This plan auto-renews annually unless cancelled via support ticket, email, or phone at least 7 days prior to renewal. Once renewed, the plan is non-refundable due to pre-paid services (e.g., domain, hosting, email provisioning).

D. CUSTOM WORK

Rooah! only performs custom work within the scope of a SimplePlan. Rare exceptions require:

• A separate contract
• Prepayment
• Rooah!’s written acceptance of scope

E. PAYMENT TERMS

• Invoices are due within 14 days unless stated otherwise.
• Unpaid invoices >21 days may result in suspension and/or deletion of services.
• A 50% deposit is required for custom projects unless otherwise specified.
• Failure to pay may result in legal action and recovery via Small Claims Court.
• Payments are accepted via Stripe, PayPal, ACH, or Rooah’s online portal.

F. REFUNDS & DISPUTES

• SimplePlan (Flagship) and SimplePlan Business: Refund available within 30 days of purchase only if work has not begun. Once project work has started (e.g., initial design, CRM setup, automation workflows), the setup fee becomes non-refundable and monthly service may be pro-rated at Rooah’s discretion.
• SimplePlan Pro: No refunds will be issued once a VA/CSR has been assigned or onboarding has commenced. This includes any preparation or allocation of resources specific to the role.
• Annual Plans (Growth Starter, Hosting & Support): All annual plan fees are non-refundable once activated due to prepaid nature of services including hosting, domain registration, and email provisioning. Clients must cancel auto-renew at least 7 days before the renewal date.
• Chargebacks: Clients who initiate a chargeback without contacting Rooah to resolve a dispute will be in breach of agreement. This results in:
  
  • Immediate suspension of all active services
  • Permanent account termination and potential deletion of hosted data
  • Legal and collection actions to recover Stripe/PayPal fees and lost revenue

Clients are encouraged to reach out to Rooah’s support team first to resolve concerns. Our goal is always to work collaboratively and in good faith.

G. MATERIALS & COPYRIGHT

• Clients are responsible for providing all necessary content.
• You confirm you have rights to all materials submitted.
• Rooah! retains ownership of any proprietary code or design unless otherwise agreed.

H. TERMINATION

• Either party may terminate this agreement with 30 days’ written notice.
• Non-payment or breach may result in immediate termination.
• Upon termination, all balances are due within 60 days.
• Rooah! will retain site content for up to 3 years unless otherwise agreed.

I. COMPLAINTS

• File complaints via Rooah!’s support system or email.
• We aim to resolve complaints within 30 days.

J. LIABILITY

Rooah! is not liable for:

• Downtime or service interruptions
• Client errors or misuse
• Content supplied by client
• Loss of earnings or indirect damages

K. INDEMNITY

You agree to hold Rooah! harmless against any claims arising from:

• Your use of our services
• Content you provide
• Unauthorized third-party use of your account

L. SECURITY

You are responsible for protecting your login credentials. Notify Rooah! immediately of any unauthorized use.

M. GOVERNING LAW

This agreement is governed by the laws of the State of Delaware. All disputes shall be resolved in Delaware jurisdiction.

N. INTELLECTUAL PROPERTY & FEEDBACK

By submitting feedback or content to Rooah!, you grant us a royalty-free, perpetual license to use, adapt, and display such content across platforms for promotional or operational use.
